1. Welcome & Agreement

Hello, and welcome to GigHive.

We built GigHive to solve a specific problem: connecting talented musical artists with the venue owners who need them, while removing the financial risks and administrative headaches that usually come with booking live events. Whether you are here to book a stage or fill one, we are glad you have joined us.

These Terms of Service ("Terms") constitute a legally binding contract between you and GigHive regarding your use of our website (https://gighive.it) and our platform services.

Please read these Terms carefully. By creating an account, booking an artist, listing a venue, or using our advertising services, you agree to be bound by these Terms. If you do not agree with them, you may not use our platform.

2. About Our Service

GigHive is a specialized SaaS marketplace and visibility platform. It is important to understand our role in your transactions:

  • We Are the Platform, Not the Agent: We provide the digital infrastructure for Artists and Venue Owners to find each other, negotiate, and transact. Unless explicitly stated otherwise, GigHive is not a talent agency, an employer of the artists, or an owner of the venues.
  • The Contract is Between Users: When a Venue books an Artist, the service contract for that performance is directly between those two parties. GigHive is not a party to that specific performance agreement, though we facilitate the payment and provide the framework.
  • Safe Payments: To protect both sides, we offer secure payment processing. This ensures Artists get paid for their work and Venues get the performance they booked.
  • Visibility & Advertising: We offer tools to boost the visibility of artist profiles and venue listings to help you stand out in a crowded market.

Eligibility
To use GigHive, you must be at least 18 years old and capable of forming a binding contract. If you are using GigHive on behalf of a business (like a club, bar, or management agency), you represent that you have the authority to bind that entity to these Terms.

3. Your Account

To access the full functionality of GigHive, you must register for an account. We believe in transparency and trust, so here is what we expect from you regarding your account:

  • Accuracy is Key: Whether you are an Artist creating a profile or a Venue listing your specs, the information you provide must be accurate. Artists must not impersonate other bands; Venues must truthfully represent their capacity and equipment.
  • Account Security: You are responsible for maintaining the confidentiality of your login credentials. If you believe your account has been compromised, please contact us immediately at Info&support@gighive.it.
  • One Identity: You may not share your account credentials with third parties. You are responsible for all activities that occur under your account.
  • Termination by You: You can close your account at any time through your settings dashboard, provided you do not have any active bookings or pending payments.

4. Acceptable Use

We want GigHive to be a professional, safe environment for the music industry. To maintain this standard, you agree not to misuse the platform.

You agree that you will:

  • Communicate professionally with other users.
  • Honor your booking commitments (shows, soundchecks, and payment obligations).
  • Comply with all local laws regarding live events, noise ordinances, and labor regulations.

You agree that you will NOT:

  • Circumvent Our Fees: You may not use GigHive to find a match and then complete the booking off-platform to avoid service fees. This hurts our ability to maintain the service for everyone.
  • Post Harmful Content: Do not upload content that is hate speech, threatening, sexually explicit, or promotes illegal acts.
  • Scrape Data: Do not use automated bots or scrapers to collect user data or venue lists from our site.
  • Disrupt the Service: Do not attempt to introduce viruses, overload our servers, or interfere with the platform's security features.

If we discover you are violating these rules, we reserve the right to suspend or permanently ban your account without a refund of prepaid advertising fees.

5. Content & Intellectual Property

Your Content
You retain ownership of the content you upload to GigHive (e.g., band photos, demo tracks, venue images, descriptions). However, by uploading it, you grant GigHive a non-exclusive, worldwide, royalty-free license to display, reproduce, and promote that content for the purpose of operating and marketing the platform.

Example: We might feature your Venue or Band on our homepage or social media to help you get more bookings.

Our Intellectual Property
The GigHive platform itself—including our logo, code, design, and "safe payment" workflow—is the property of GigHive. You may not copy, modify, or reverse-engineer our software.

Copyright Complaints
We respect intellectual property rights. If you believe content on GigHive infringes your copyright, please contact us at Info&support@gighive.it with the subject line "Copyright Claim."

6. Payments, Billing & Cancellations

GigHive facilitates payments to ensure trust between Artists and Venues.

Fees and Commissions

  • Service Fees: We may charge a service fee or commission on bookings made through the platform. These fees will be clearly displayed before you confirm any transaction.
  • Visibility Boosting: We offer paid advertising features to boost your profile. These are billed as one-time payments or subscriptions, depending on the plan you select.

Safe Payment Process

  • When a booking is confirmed, the Venue acts to secure the funds via our payment processor.
  • Funds are generally released to the Artist following the successful completion of the event, subject to our standard settlement timeline (usually 24-72 hours post-event).

Cancellations and Refunds

  • Advertising Services: Fees paid for visibility boosting or advertising are generally non-refundable once the service has commenced, as the value has already been delivered.
  • Event Cancellations:
    • If the Artist cancels: The Venue is entitled to a full refund of the booking fee.
    • If the Venue cancels: Refunds depend on the specific cancellation policy selected at the time of booking (e.g., Flexible, Moderate, Strict).
    • Force Majeure: In cases of events outside anyone's control (e.g., natural disasters, government lockdowns), we will work with both parties to find a fair resolution, which may involve rescheduling or refunds.

7. Privacy

Your privacy is critical to us. Our data practices are governed by the General Data Protection Regulation (GDPR) and other applicable laws.

We collect only the data necessary to facilitate bookings, process payments, and improve your experience. We do not sell your personal data to third parties. For full details on how we handle your information and your rights to access or delete it, please review our Privacy Policy.

8. Disclaimers & Limitations

Service "As Is"
GigHive is provided on an "as is" and "as available" basis. While we strive for 100% uptime and a bug-free experience, we cannot guarantee that the service will always be uninterrupted or error-free.

Limitation of Liability
To the fullest extent permitted by applicable law (including EU consumer protection laws):

  • GigHive is not liable for the actions, errors, or omissions of Artists or Venues. We do not supervise the live events.
  • We are not liable for indirect damages, such as lost profits, loss of reputation, or loss of data arising from your use of the platform.
  • Our total liability to you for any claim arising out of these Terms shall not exceed the total amount you paid to GigHive in the twelve (12) months preceding the claim.

Consumer Rights
Nothing in these Terms affects your statutory rights as a consumer under applicable EU laws. If a law in your jurisdiction prohibits a specific limitation of liability, that specific limitation will not apply to you.

9. Dispute Resolution

We hope you never have a dispute with us, but if you do, we want to resolve it quickly and fairly.

Informal Resolution
Before filing any legal claim, you agree to contact us at Info&support@gighive.it. We will attempt to resolve the issue informally within 30 days.

Online Dispute Resolution (EU)
If you are a consumer in the EU, you may also use the European Commission's Online Dispute Resolution (ODR) platform to resolve disputes.

Governing Law
These Terms are governed by the laws of Italy and the European Union. Any legal disputes not resolved informally shall be brought in the competent courts of the jurisdiction where GigHive is established.

10. Changes & Termination

Changes to Terms
We may update these Terms to reflect changes in our business or the law. If we make material changes, we will notify you via email or a prominent notice on the platform before the changes take effect. Your continued use of GigHive after the effective date means you accept the new Terms.

Termination
We reserve the right to suspend or terminate your access to GigHive if you violate these Terms, engage in fraud, or if we are required to do so by law.

11. General Legal

  • Severability: If any part of these Terms is found to be unenforceable, the rest of the Terms remain in full effect.
  • Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and GigHive regarding the platform.
  • Assignment: You may not assign your rights under these Terms to someone else without our written consent. GigHive may assign these Terms to a successor entity in the event of a merger or acquisition.
